Active Company<br \/>\nTagging Identities and Verification (ACTIVE).<\/p>\n<p><strong>MAIN CONTENT OF NOTIFICATION<\/strong>:\u2010According to aforesaid newly incorporated rule 25A of Companies (Incorporation) Amendment Rules,\u00a0\u00a0 2014 Every Company Incorporated on or after 31st December,2017 shall file the particulars of the company and its registered office in e\u2010form ACTIVE (Active Company Tagging Identities and Verification) i.e. FORM INC\u201022A on or before 25th April, 2019.<\/p>\n<p><strong>APPLICABILITY<\/strong>:\u2010This notification shall come into force with effect from 25th February, 2019.<\/p>\n<p><strong>LAST DATE FOR FILLING E\u2010FORM \u201cACTIVE (FORM INC<\/strong>\u201022A)\u201d? :\u2010<br \/>\nE form \u201cACTIVE (FORM INC\u201022A)\u201d can be filed without payment of any penalty or additional fee on or before 25th April, 2019.<br \/>\nHere is the link of format of \u201cACTIVE (FORM INC\u201022A)\u201d :\u2010<br \/>\nhttp:\/\/mca21.gov.in\/MCA21\/dca\/downloadeforms\/eformTemplates\/NCA\/Form_INC\u201022A.zip<\/p>\n<p><strong>WHO NEED TO FILE E\u2010FORM \u201cACTIVE (FORM INC\u201022A)\u201d? :\u2010<\/strong><\/p>\n<ul>\n<li>Every Company incorporated on or before the 31st December, 2017 shall file this form electronically to ensure that it is active and working.<\/li>\n<\/ul>\n<p><strong>COMPANIES WHICH WILL NOT BE ABLE TO FILE THE E\u2010FORM \u201cACTIVE (FORM INC\u201022A)\u201d<\/strong><\/p>\n<ul>\n<li>If a company had not filed its annual return under section 92(MGT\u20107) or Financial statement with registrar i.e. Form AOC\u20104 cannot file this form unless such company is under management dispute and the Registrar has recorded the same on register.<\/li>\n<\/ul>\n<p><strong>WHICH COMPANIES ARE EXEMPTED FROM FILLING E\u2010FORM \u201cACTIVE (FORM INC\u201022A)\u201d?<\/strong><\/p>\n<ul>\n<li>As recorded by the registrar in register shall not be required to file e\u2010form \u201cACTIVE (FORM INC\u201022A)\u201d<\/li>\n<li>Companies which has been stuck off or<\/li>\n<li>Companies which are under process of struck off<\/li>\n<li>Under liquidation<\/li>\n<li>Amalgamated or dissolved<\/li>\n<\/ul>\n<p><strong>CONSEQUENCES OF NON\u2010FILLING OF THE E\u2010FORM \u201cACTIVE (FORM INC\u201022A)\u201d AT DUE DATE<\/strong><br \/>\nIn case a company does not file the said e\u2010form \u201cACTIVE (FORM INC\u201022A)\u201d It have to face some consequences of the same which are as follows:\u2010<\/p>\n<ol>\n<li>\u00a0After the due date i.e. 25th April, 2019 Company shall be marked as \u201cACTIVE\u2010non\u2010compliant\u201d and also liable for action under section 12(9). According to section 12(9),if registrar has reasonable cause to believe that company is not carrying on any business or operations he may cause a Physical verification of the registered office of the company and if any default if found he can initiate action for removal of the name of company from register of the companies.<\/li>\n<li>If a Company, already marked as ACTIVE\u2010non\u2010compliant would not be able to record some event based information or changes with registrar of companies unless it further be marked as \u201cACTIVECompliant\u201d. List of these changes which a company cannot made to information of company with registrar are:\u2010<\/li>\n<\/ol>\n<p>&#8211;\u00a0 Changes in authorized share capital(Form SH\u201007)<br \/>\n&#8211;\u00a0 Changes in paid up capital(PAS\u201003)<br \/>\n&#8211;\u00a0 Changes in Director except cessation(DIR\u201012)<br \/>\n&#8211;\u00a0 Changes in Registered Office(INC\u201022)<br \/>\n&#8211;\u00a0 Amalgamation, De\u2010merger(INC\u201028)<\/p>\n<ol>\n<li>If any Company file e\u2010form on or after 26th April, 2019, the Company shall only be marked as \u201cACTIVE<br \/>\nCOMPLIANT\u201d on payment of fee of Rs.10,000 .<\/li>\n<\/ol>\n<p><strong>DETAILS REQUIRED TO BE FILLED IN E\u2010FORM \u201cACTIVE (FORM INC\u201022A)\u201d<\/strong><\/p>\n<ul>\n<li>Number of the Directors as on the date of filing<\/li>\n<li>Email id of the Company<\/li>\n<li>Details of Statutory Auditor<\/li>\n<li>Details of the Cost Auditor if Applicable<\/li>\n<li>Details include DIN no, Name and Designation of CEO, MANAGER AND WHOLE TIME DIRECTOR.<\/li>\n<li>Details include Pan, Name and Membership Number of Company Secretary if Applicable.<\/li>\n<li>Details of CFO if Applicable.<\/li>\n<li>SRN number of AOC\u20104\/MGT\u20107 for FY 2017\u20102018<\/li>\n<\/ul>\n<p><strong>DOCUMENTS REQUIRED FOR FILLING E FORM \u201cACTIVE (FORM INC\u201022A)\u201d<\/strong><\/p>\n<ul>\n<li>Photograph of the registered office address showing the Inside and Outside Building<\/li>\n<li>Photo of Director who is affixing the Signature on the Form.<\/li>\n<\/ul>\n<p><strong>WHO SHALL CERTIFY THE E\u2010FORM \u201cACTIVE (FORM INC\u201022A)\u201d<\/strong><br \/>\nThe form shall be Certify by following persons:<\/p>\n<ul>\n<li>IN case of OPC\u2010 One Director<\/li>\n<li>In case of Other Companies : TWO DIRECTORS OR ONE DIRECTOR AND KMP<\/li>\n<li>Certified by the cs\/ca\/cwa in Practice.<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Ministry of Corporate Affairs issued a Notification on 21st February, 2019 to amend the Companies (Incorporation) Amendment Rules, 2014 through which it incorporated a new rule after rule 25 named as \u201c25A.
